1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dynode LLC ("Dynode," "Company," "we," "us," or "our"), governing your access to and use of the Primoraly platform, website (www.primoraly.com), and all related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Primoraly is an AI Search Optimization (AEO/GEO) platform that provides tools for monitoring and analyzing business visibility across AI-powered search engines and language models, including but not limited to ChatGPT, Claude, Perplexity, and Gemini. The Service includes ranking checks, competitor discovery, report generation, and related analytics features.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

4.1 Billing

Paid features of the Service are billed on a recurring subscription basis. By subscribing to a paid plan, you authorize Dynode LLC to charge your payment method on a recurring basis until you cancel your subscription.

4.2 No Refunds Policy

ALL SALES ARE FINAL. NO REFUNDS WILL BE PROVIDED UNDER ANY CIRCUMSTANCES.

Due to the nature of our Service, which involves significant costs for third-party AI API usage, data processing, and analytics infrastructure, we do not offer refunds for any subscription payments, including but not limited to:

• Monthly or annual subscription fees
• Unused portions of subscription periods
• Downgrade differences
• Partial month charges
• Any fees charged for any reason

By subscribing to the Service, you acknowledge and accept this no-refund policy. We encourage you to use the free tier to evaluate the Service before committing to a paid subscription.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• No refunds will be provided for the remaining period
• Your account will be downgraded to the free tier after the billing period ends

4.4 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of any price increases.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in fraudulent, deceptive, or misleading activities
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to the Service or related systems
• Use automated tools, bots, or scripts to access the Service beyond normal usage
• Reverse engineer, decompile, or attempt to extract source code
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service to compete with Primoraly or Dynode LLC

6. Intellectual Property

The Service, including all content, features, functionality, software, and trademarks, is owned by Dynode LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes only.

You retain ownership of any data you submit to the Service. By using the Service, you grant Dynode LLC a worldwide, royalty-free license to use, process, and store your data solely to provide and improve the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Dynode LLC specifically disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any data or results
• Warranties that results obtained from the Service will meet your requirements

We do not guarantee any specific results, rankings, or outcomes from using the Service. AI search rankings and visibility are determined by third-party platforms beyond our control.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYNODE LLC, ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use or inability to use the Service
• Any damages resulting from unauthorized access to your account or data
• Any damages related to third-party services, including AI platforms

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Dynode LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or data you submit to the Service

10. Third-Party Services

The Service integrates with third-party AI platforms and services. These third-party services have their own terms and conditions, and Dynode LLC is not responsible for their availability, accuracy, or performance. Your use of third-party services through our platform is at your own risk.

11. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• No refunds will be provided
• We may delete your account and data
• All provisions that should survive termination will survive

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
